3. Client Responsibilities

Clients are responsible for:

• Payment of services as outlined in the agreed contract or invoice.

4. Intellectual Property

Upon full payment, all intellectual property rights in the final deliverables (websites, applications, designs) will be transferred to the client. However, pre-existing materials, tools, and methodologies used by NONC EXPRESS LLC remain our exclusive property.

Clients retain ownership of all content they provide. NONC EXPRESS LLC retains the right to display completed projects in our portfolio unless otherwise agreed in writing.

5. Payment Terms

Payment terms are as follows:

• A deposit of 30-50% is typically required to begin project work.
• Final payment is due upon project completion and client approval.
• Payment methods include bank transfer, PayPal, and Stripe (when integrated).
• Late payments may incur a fee of 1.5% per month on the outstanding amount.

All prices are in Euros (€) and exclude VAT unless otherwise stated.

6. Project Timeline and Changes

Project timelines are estimates provided at the start of each project. Delays may occur due to:

• Client delays in providing feedback or approvals.
• Changes to project scope requested by the client.
• Unforeseen technical issues.

Any significant changes to project scope will require a change order and may affect pricing and timeline.

7. Limitation of Liability

NONC EXPRESS LLC will use reasonable skill and care in providing services. However, we are not liable for:

• Loss of profits, revenue, data, or business opportunities.
• Indirect or consequential losses.
• Delays caused by circumstances beyond our reasonable control.
• Issues arising from client-provided content or third-party services.

Our total liability in any case shall not exceed the total amount paid by the client.

8. Confidentiality

Both parties agree to keep confidential all non-public information received from the other party. This obligation does not apply to information that is:

• Publicly available.
• Independently developed without use of confidential information.
• Required to be disclosed by law.

9. Termination

Either party may terminate a project agreement with written notice. In such cases:

• Client will pay for all work completed up to the termination date.
• Any prepaid amounts for uncompleted work will be refunded proportionally.
• Termination does not affect existing intellectual property rights or confidentiality obligations.

10. Governing Law

These Terms and Conditions are governed by the laws of South Carolina, USA. Any disputes will be resolved in the courts of Hardeville, SC.

8. Confidentiality
